Terms of Service | Clerqpay

1. Acceptance

By creating a Clerqpay account or using the Clerqpay service you agree to these Terms of Service. If you do not agree, do not use the service.

2. The service

Clerqpay provides invoicing, quote management, and payment-tracking tools for freelancers and small businesses. We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. Your account

You must be at least 18 years old to create an account.
You are responsible for maintaining the security of your password.
You must not share your account credentials with others.
You are responsible for all activity that occurs under your account.

4. Acceptable use

You agree not to use Clerqpay to:

Violate any applicable law or regulation.
Send fraudulent, deceptive, or misleading invoices.
Attempt to reverse-engineer, copy, or resell the service.
Upload malicious code or interfere with the service's operation.
Use the service to process payments for illegal goods or services.

5. Plans & billing

Clerqpay offers a Free plan and paid plans (Starter, Pro, Business). Paid plans are billed monthly. You may cancel at any time; your access continues until the end of the current billing period. We do not offer refunds for partial months.

Invoice limits are enforced per calendar month and reset on the 1st of each month. Unused allowance does not roll over.

5.1 Auto-renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled. By subscribing to a paid plan, you authorise Clerqpay (via Paystack) to charge your payment method on file at the start of each new billing cycle.

You may cancel your subscription at any time from Settings > Billing. Cancellation takes effect at the end of the current billing period — you will retain access to paid features until the period ends. After cancellation, your plan will revert to the Free tier.

We will send you a reminder email before each renewal. If a payment fails, we will attempt to charge again and notify you of the failure so you can update your payment method.

6. Payments

Online invoice payments are processed by Paystack and Slingpay. Clerqpay does not store or have access to your clients' card data. Payment disputes between you and your clients are your responsibility; Clerqpay is a tool, not a party to the transaction.

7. Your content

You retain ownership of all data you enter into Clerqpay (invoices, client names, etc.). You grant us a limited licence to store and process this data solely to provide the service to you.

8. Limitation of liability

Clerqpay is provided "as is". To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the service, including but not limited to lost revenue or lost data.

9. Termination

We may suspend or terminate your account if you violate these terms. You may delete your account at any time from Settings. Upon termination, your data will be retained for 30 days before deletion.

10. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Lagos State, Nigeria.
